A Non-Profit Organization (NPO) is a type of organization that uses its surplus revenues to further achieve its purpose or mission, rather than distributing its surplus income to the organization's directors (or equivalents) as profit or dividends. This is known as the non-distribution constraint. The decision to adopt a non-profit legal structure is one that will often have taxation implications, particularly where the nonprofit seeks income tax exemption, charitable status and so on.

The earliest non-profit organizations were often established for religious or charitable purposes. This was often done in the form of a charitable trust, a trust that was founded by an individual who left money in their will to establish a charitable organization.

In many countries, non-profit organizations can apply for tax exempt status, allowing them to avoid paying income tax on certain types of income. This is often a complex process that requires the organization to demonstrate that it is operating for the benefit of the public.

Non-profit organizations are typically governed by a board of directors who oversee the organization's activities. The board is responsible for ensuring that the organization is fulfilling its mission and is operating in a financially responsible manner.
